The move will enable Limonetik to enhance its marketplace payment services offering in Europe, as the company looks to embark on its international expansion strategy.
Through this collaboration, Limonetik will leverage Nuvei’s European acquiring services and plans to incorporate international acquiring as part of its global expansion. Nuvei applies to list its subordinate voting shares on the Nasdaq
Montréal, October 4, 2021 – Nuvei Corporation (“Nuvei” or the “Company”) (TSX: NVEI and NVEI.U), the global payment technology partner of thriving brands, has announced today the launch of a marketed offering of 1,500,000 subordinate voting shares of the Company in the United States and Canada, representing Nuvei’s initial public offering in the United States (the “Offering”).
In connection with the Offering, Nuvei has applied to list its subordinate voting shares on Nasdaq Global Select Market (the “Nasdaq”) under the symbol “NVEI”. Trading in Nuvei’s subordinate voting shares is expected to commence on the Nasdaq following the pricing of the Offering. Assuming the completion of the Offering, Nuvei expects to apply to have its subordinate voting shares trading on the Toronto Stock Exchange (the “TSX”) in U.S. dollars under the symbol “NVEI.U” delisted on the second day following the closing of the Offering. Nuvei’s subordinate voting shares will continue to trade on the TSX in Canadian dollars under the symbol “NVEI”.
Goldman Sachs & Co. LLC, Credit Suisse, J.P. Morgan, BMO Capital Markets and RBC Capital Markets will act as bookrunners for a syndicate of underwriters (collectively, the “Underwriters”). The Offering will be priced in the context of the market; the issue price per subordinate voting share and size of the Offering will be determined when Nuvei enters into an underwriting agreement for the Offering.
Nuvei expects to use the net proceeds from the Offering primarily to strengthen the Company’s financial position and allow it to pursue its growth strategies. Closing of the Offering will be subject to a number of customary conditions, including the entering into of a definitive underwriting agreement, the listing of the subordinate voting shares issued by the Company on the Nasdaq and the TSX, and any required approvals of the Nasdaq and the TSX.
Nuvei has granted the Underwriters an option, exercisable, in whole or in part, at any time until and including 30 days following the closing of the Offering, to purchase up to an additional 15% of the Offering at the offering price to cover over-allotments, if any.

Nuvei enables payments for Carousel Group’s SportsBetting.com web and mobile app, and will support future U.S. expansion initiatives
MONTREAL and DENVER, August 17, 2021 — Nuvei Corporation (“Nuvei” or the “Company”) (TSX: NVEI and NVEI.U), the global payment technology partner of thriving brands, today announces an agreement with Carousel Group, a rapidly-growing privately-held licensed sports betting and casino operator. Through the agreement, Nuvei is powering payment transactions for Carousel Group’s flagship brand, SportsBetting.com. Launching initially in Colorado, the Company will support Carousel Group’s expansion across the U.S., as it plans to make its online sportsbook available in additional regulated markets, including Iowa, Indiana and New Jersey.
SportsBetting.com integrates Nuvei’s payment technology, benefiting from built-in compliance and fraud prevention, one-click payments, and real-time user payouts. Nuvei’s wide-ranging alternative payment methods (APMs) and support for multiple bank sponsors offers even greater payment processing flexibility. Montreal, May 18, 2021 – New research from strategy consulting firm Edgar, Dunn & Company specialized in payments and digital financial services, commissioned by Nuvei Corporation (TSX: NVEI and NVEI.U), highlights the importance for marketplaces to build a future-proof payment strategy to maximize the opportunity for growth. The report “The Evolving Needs of Today’s Marketplace. Leveraging payment technology as a growth catalyst” also analyses best practices for marketplaces to optimize their payment processes and increase profitability.
A Nuvei report published in 2017 predicted that by 2020, around 40% of the world’s online retail market would be controlled by marketplaces. A recent analysis conducted by Digital Commerce 360 demonstrates that the marketplace share of total global web sales was actually 62% in 2020. Accelerated by local lockdowns during the pandemic, marketplaces experienced 81% growth in 2020, according to marketplace platform provider Mirakl’s Enterprise Marketplace Index. To capitalize on this faster than expected growth, many marketplaces now seek to create an entire ecosystem with large product choice as a means to retain and increase customer loyalty.

“We’re very pleased with our results for the first quarter with both continuing momentum in the core business and the acceleration of new client wins contributing to 132% total volume* growth, 80% revenue growth and 97% Adjusted EBITDA** growth over the first quarter of 2020,” said Philip Fayer, Nuvei’s Chair and CEO. “Our focus on building leading-edge solutions to facilitate and help our clients best connect with their clients continued during the first quarter as we expanded our reach with new markets, added multiple alternative payment methods (“APMs”) and introduced new capabilities like supporting payment in cryptocurrencies. MONTREAL, May 6, 2021 – Nuvei Corporation (“Nuvei” or the “Company”) (TSX: NVEI and NVEI.U), the global payment technology partner of thriving brands, today announced it has entered into a definitive agreement to acquire SimplexCC Ltd. (“Simplex”), a fintech startup providing the fiat infrastructure to the cryptocurrency industry, for approximately $250 million to be paid in cash. The transaction is subject to customary closing conditions, including regulator approval, and is expected to close in the second half of 2021.
Founded in 2014, Simplex has grown into a leading fiat-cryptocurrency gateway connecting market participants including exchanges, brokers, wallet and liquidity providers. Simplex delivers the infrastructure for users to buy or sell cryptocurrencies (i.e. on-ramp/off-ramp capabilities) using credit and debit cards. Through its proprietary fraud and risk management tools, Simplex provides a zero-chargeback guarantee to its customers, resulting in higher conversion rates. In addition, the acquisition will provide Nuvei with an electronic money institution (EMI) license to offer IBAN accounts to end users and corporations, and offers future banking and card issuing capabilities. As a principal member of the Visa network, Simplex has permission to issue Visa cards, giving its consumers access to digital currencies daily. Simplex processed approximately $500 million of total volume* in 2020 and is expected to process more than $2.0 billion of total volume* in 2021.

Montreal-headquartered payment technology firm donates $100,000 to the nonprofit to aid Québec children and teens who have experienced sexual and physical abuse
MONTREAL, May 04, 2021 — Nuvei Corporation (TSX: NVEI and NVEI.U), the global payment technology partner of thriving brands, announced today that it has made a three-year charitable pledge to the Marie-Vincent Foundation to help support efforts to prevent and fight sexual and physical violence against children.
Around one in five girls and one in 10 boys has experienced sexual abuse at some point during their childhoods*. Nuvei will donate $100,000 over the next three years to the Marie-Vincent Foundation, a nonprofit organization that plays a role in preventing sexual violence by targeting children, adolescents, parents, professionals and the general public with information, while providing specialized treatment to children and adolescents who are victims of sexual violence.
After having to cancel its fundraising events last year due to the pandemic, the Marie-Vincent Foundation launched a three-year fundraising campaign to help more young people in Québec. Its goal is to advance four major projects: improving service access by recruiting additional staff, opening a second Child Advocacy Centre, filling a gap in specialized treatment for young victims, and supporting research into sexual violence.
As part of its ongoing Environmental, Social, and Corporate Governance (ESG) initiatives, Nuvei continues to support meaningful causes, including charitable donations and activities that promote social responsibility. Nuvei’s donation to the Marie-Vincent Foundation will move the charitable organization closer to reaching its objectives.
